The Goodwin family (the "Seller") have sold 122,368 ordinary shares in the Company to a limited number of institutional investors, representing approximately 1.6% of the existing share capital in the Company (the "Placing").
The transaction does not involve JM Securities (an entity controlled by the Goodwin family).
Redburn (Europe) Limited ("Rothschild & Co Redburn") acted as sole bookrunner in connection with the Placing (the "Manager").
Settlement of the Placing is expected on 17th November 2025. Subject to the prior consent from the Manager, the Seller will be subject to a lock up period of 180 days.
The Company will not receive any proceeds from the Placing.
